1. Acceptance of Terms

By accessing or using Grove IQ’s website, mobile application (“App”) or email communications (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Services.

2. Changes to Terms

We may revise these Terms at any time. When we do, we’ll post the updated version with a new “Effective Date.” Your continued use of the Services after that date constitutes your acceptance of the revised Terms.

3. Description of Services

Grove IQ provides AI-powered inbox intelligence by linking to your Google account, encrypting usage data, and delivering insights via our website, App, and email summaries.

4. Account Registration & Access

• You must link a valid Google account to access the Services.

• You are responsible for maintaining the security of your login credentials and for any activity under your account.

• We may suspend or terminate accounts for violations of these Terms or misuse of the Services.

5. Use of Website, App, and Emails

• Website & App: You may access and use our web and mobile interfaces only as permitted by these Terms. You agree not to interfere with or disrupt the operation of the Services.

• Emails: We send you functional notices (e.g., account alerts), marketing materials (with opt-out), and AI-generated summaries. You may unsubscribe from marketing emails at any time, but you cannot opt out of functional notices necessary for account security and operation.

6. User Conduct

You agree not to:

• Use the Services for any unlawful purpose;

• Reverse-engineer, decompile, or otherwise attempt to extract source code;

• Transmit viruses, malware, or any code intended to interrupt or destroy the Services;

• Circumvent or disable security features.

7. Intellectual Property

All content, features, and functionality of the Services (including text, graphics, software, and trademarks) are the exclusive property of Grove IQ or its licensors. You receive no rights to our intellectual property except as expressly set forth in these Terms.

8. Third-Party Services

We integrate with Google Analytics and Google for authentication. Your use of those services is also subject to Google’s terms and privacy policies. We do not share your data with any third party except to process AI functions on our secure servers.

9. Data Security & Privacy

• All user data is encrypted in transit and at rest, and is accessible only in connection with your linked Google account.

• We retain encrypted data for as long as your account is active. You may request deletion of your data or your account at any time by emailing legal@groveiq.com.

10. Disclaimers

THE SERVICES ARE PROVIDED “AS-IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND. GROVE IQ DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

11. Limitation of Liability

IN NO EVENT WILL GROVE IQ BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF YOUR USE OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12. Indemnification

You agree to indemnify and hold Grove IQ and its officers, directors, employees and agents harmless from any claim or demand, including reasonable attorneys’ fees, arising out of your violation of these Terms or your misuse of the Services.

13. Termination

We may terminate or suspend your access to the Services at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users or Grove IQ.

14. Miscellaneous

• Governing Law: These Terms and your use of the Services are governed by applicable U.S. federal and state law.

• Severability: If any provision is held invalid, the remaining provisions remain in full force.

• Entire Agreement: These Terms (together with our Privacy Policy) constitute the entire agreement between you and Grove IQ regarding the Services.
